Terms of Service
In plain language:
- NextiaTax is bookkeeping software, not an accountant, tax advisor, law firm, or CRA filing service.
- You remain responsible for reviewing your records, exports, and AI-assisted results.
- Paid subscriptions renew automatically until cancelled. The billing and refund rules are explained separately and form part of these Terms.
- You own your content. We process it only to operate, secure, and improve the service as described in our Privacy Policy.
1. Agreement and eligibility
These Terms of Service (“Terms”) are an agreement between you and Nextia AI, operating NextiaTax (“Nextia,” “NextiaTax,” “we,” “us,” or “our”). By creating an account, accepting a paid plan, or using NextiaTax, you agree to these Terms and the policies linked from them.
You must be at least the age of majority where you live and capable of entering a binding contract. If you use NextiaTax for a business or invite other people to a workspace, you confirm that you have authority to act for that business and manage their access.
2. What NextiaTax provides
NextiaTax provides tools for document capture, bookkeeping organization, transaction tracking, sales-tax fields, projects, reports, exports, and an AI assistant that can answer questions about data in your workspace. Features and limits depend on your plan and may change as the product develops.
NextiaTax is software—not accounting, tax, legal, investment, or financial advice. It does not file returns or remit amounts to the Canada Revenue Agency or any provincial authority, and it does not guarantee eligibility, deductions, credits, CRA acceptance, tax savings, refunds, or any other outcome. You are responsible for your records and filings and should consult a qualified professional when needed.
3. Accounts, workspaces, and security
- Sign-in is provided through Microsoft Entra External ID and may involve Microsoft, Google, or email-based credentials managed by that service.
- You must provide accurate account information and protect your sign-in methods and devices.
- You are responsible for activity performed through your account unless you promptly report unauthorized use.
- Workspace owners and administrators control invitations, roles, and access. Their actions may affect other members and business data.
- You must notify us promptly at security@nextiatax.com if you suspect unauthorized access.
4. Plans, trials, renewal, and cancellation
The current plans, prices, included usage, and taxes are shown before purchase. Prices are in Canadian dollars unless clearly stated otherwise. A 14-day Plus trial is available to new accounts without a payment card. Unless you affirmatively purchase a paid plan, the trial ends by moving the workspace to the free Starter plan.
Paid subscriptions are charged in advance and renew automatically at the selected monthly or annual interval until cancelled. You can cancel through the in-product billing controls or Stripe-hosted billing portal. Unless applicable law requires a different result, cancellation stops the next renewal and paid access continues through the end of the current paid period. Cancelling a no-card trial may end trial access immediately.
Our Billing & Refund Policy explains renewals, cancellation timing, plan changes, failed payments, and refunds and is incorporated into these Terms. Nothing in these Terms limits a non-waivable right under applicable consumer-protection law.
5. Your content and responsibilities
As between you and Nextia, you retain ownership of the information, documents, images, records, and other content you submit (“Customer Content”). You give us a limited, worldwide licence to host, copy, process, transmit, and display Customer Content only as reasonably necessary to provide, secure, support, and maintain NextiaTax and to meet legal obligations.
You are responsible for ensuring that:
- you have the right and authority to upload and process Customer Content, including information about employees, clients, suppliers, or other people;
- your records are accurate, complete, lawfully obtained, and retained as required for your business;
- you review AI-extracted fields, categories, calculations, currency conversions, and exports before relying on them; and
- your use complies with our Acceptable Use Policy.
6. AI-assisted features
AI and optical-character-recognition features may produce incomplete, inaccurate, or outdated results. Confidence indicators and citations are aids, not guarantees. The AI assistant is intended to summarize and analyze your workspace data; it is not a professional advisor and should not be your sole basis for a financial, tax, legal, or business decision.
7. Privacy and data processing
Our Privacy Policy explains what personal information we collect, why we use it, where it may be processed, how long we keep it, and the choices available to you. Our Sub-processors list identifies key service providers.
If you provide personal information about another person, you are responsible for giving any required notice and obtaining any required consent. Depending on the relationship and applicable law, your business may be the organization responsible for that information and Nextia may process it on your behalf.
8. Third-party services
NextiaTax relies on services such as Microsoft Azure and Entra, Stripe, Expo, and, when enabled, Plaid. Their own terms and privacy practices apply to the parts of the service they provide. We are not responsible for third-party services outside our control, but we remain accountable for our own obligations when we use service providers to process personal information.
9. Service changes and availability
We may add, change, or discontinue features, limits, integrations, and preview functionality. We will provide reasonable notice when a material change substantially reduces a paid service or affects renewal pricing, except where an urgent security, legal, or reliability issue requires faster action. We do not promise uninterrupted or error-free availability.
10. Suspension and termination
We may limit or suspend access when reasonably necessary to protect NextiaTax or other users, investigate suspected misuse, comply with law, or address overdue payment. We may terminate an account for a material or repeated breach after reasonable notice where circumstances permit.
You may stop using NextiaTax at any time. Before closing an account or workspace, export the information you need. Account deletion is not the same as subscription cancellation: cancelling stops future renewal, while deletion requests are handled under the Privacy Policy and may be subject to retention needed for security, billing, dispute, audit, or legal obligations.
11. Intellectual property and feedback
NextiaTax, its software, design, documentation, and branding are owned by Nextia or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active. If you provide feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.
12. Disclaimers
To the extent permitted by law, NextiaTax is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. These disclaimers do not exclude warranties or remedies that applicable law does not allow us to exclude.
13. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Nextia’s total liability arising from the service will not exceed the greater of CAD $100 and the amount you paid for NextiaTax during the 12 months before the event giving rise to the claim.
These limits do not apply where prohibited by law or to liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or infringement of non-waivable consumer rights.
14. Changes to these Terms
We may update these Terms. We will post the revised version and update the date above. If a change is material, we will provide reasonable notice through the service or by email. Changes will apply prospectively. Where applicable law gives you a right to reject a change and cancel without penalty, that right continues to apply.
15. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. This choice does not deprive you of mandatory protections available under the laws of your province or territory. The parties submit to the courts located in Ontario, except where applicable law permits or requires another forum.
16. General
If part of these Terms is unenforceable, the remaining parts continue in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, financing, or sale of the relevant business, subject to applicable law.
